| Kurumsal yönetim, şirketlerin yönlendirildiği ve kontrol edildiği bir sistemdir. Şirketlerin yönetiminden yönetim kurulu sorumludur. Hissedarların yönetimdeki rolü, yöneticileri ve denetçileri atamak ve kendileri için uygun bir yönetim yapısının oluşmasını sağlamaktadır. Yönetim kurulunun sorumlulukları arasında şirketin hedeflerinin belirlenmesi, bunların hayata geçirilmesi için liderlik sağlanması, işletmenin yönetiminin denetlenmesi ve hissedarlara yöneticilikleri hakkında rapor verilmesi yer almaktadır.

| Corporate governance is a system in which companies are directed and controlled. The board of Directors is responsible for the management of the companies. The role of shareholders in management ensures the appointment of directors and auditors and the formation of a management structure suitable for them. The responsibilities of the board of directors include setting the company’s goals, providing leadership to implement them, overseeing the management of the business and reporting to shareholders about their governance.
Corporate governance is therefore concerned with what a company’s Board of directors does, how it determines the company’s values, and should be distinguished from the day-to-day operational management of the company by full-time executives. There are four pillars of corporate governance: fairness, transparency, accountability, and security. These principles are elements that relate to each other for the purpose of evaluating the company’s performance and the development of the company. |
